Master SaaS Subscription Agreement

1. Parties and Scope

This Software-as-a-Service (SaaS) Agreement is entered into by and between CapableCodes.in ("Provider") and the participating jewelry business ("Merchant"). Provider grants Merchant a non-exclusive, non-transferable license to use the Suvarna SaaS Platform for managing digital gold/silver savings (GDS/SSY).

2. ZERO LIABILITY CLAUSE (CRITICAL)

CapableCodes.in acts SOLELY as a technology enabler. CapableCodes.in is absolutely NOT liable for any physical gold delivery, cash collections, financial transactions, or disputes arising between the Merchant and their end customers. The Merchant bears 100% responsibility for fulfilling any gold or financial commitments made via the application.

3. Payment processing and Fees

All payments processed via Razorpay are subject to Razorpay's standard processing fees.
SaaS Subscription fees are billed monthly/annually as per the chosen plan.
Failure to pay the subscription fee will result in temporary suspension of the Merchant's administrative access, though end-customer portals may remain active for 15 days in read-only mode to prevent customer panic.

4. Data Privacy and Ownership

All customer data collected by the Merchant (including phone numbers, KYC details, and transaction history) remains the sole property of the Merchant. Provider will not sell or share this data. Provider hosts the data securely on dedicated VPS instances.

5. Prohibited Conduct and Termination

Merchant agrees to comply with all local KYC and AML (Anti-Money Laundering) laws. If a Merchant is found to be defrauding customers or using the platform for illegal activities, Provider reserves the right to immediately terminate the service and hand over access logs to relevant authorities.
